8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RSAANA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES

  • DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES

THIS LIMITATION APPLIES WHETHER THE DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN JURISDICTIONS WHERE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Rsaana, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use or misuse of the Services
  • Your User Content or any content you submit, post, or transmit through the Services
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Any fraudulent, abusive, or illegal activity conducted by you

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Rsaana operates, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in that jurisdiction for resolution of any disputes.

Before initiating any formal legal action, both parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith negotiation. Any claim not resolved through negotiation shall be submitted to binding arbitration or the appropriate courts in accordance with applicable law.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Rsaana concerning the Services and supersede all prior and contemporaneous agreements, communications, and proposals.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any default shall not constitute a waiver of any subsequent default.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, power or internet outages, or failures of third-party service providers.

14.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Rsaana and do not create any third-party beneficiary rights.

15. Changes to These Terms

When we make changes, we will update the "Effective Date" at the top of this document and, where appropriate, provide additional notice such as a prominent banner on the website or an email notification. Your continued use of the Services after any changes are posted constitutes your acceptance of the revised Terms.
